Terms and Conditions
§1 Preamble
The purpose of the collaboration between the client (hereinafter referred to as the “Client”) and the agency Reinweiss Hochzeiten is to plan and organize a wedding. To achieve this goal, both parties maintain a relationship based on mutual trust.
§2 Scope of Services of the Agency
(a) The Reinweiss Hochzeiten Agency is planning a wedding. It is to advise the client, free of charge, on the options for organizing the celebration and the range of services it offers.
(b) The Reinweiss Hochzeiten Agency will always choose the most cost-effective arrangements.
§3 Scope of services of the client
(a) The Client shall inform the agency Reinweiss Hochzeiten of the available budget, which will be provided by the Client.
(b) The client supports the Reinweiss Hochzeiten agency by communicating their wishes and ideas regarding the wedding's theme.
(c) The client is required to provide the Reinweiss Hochzeiten agency with all essential information relevant to the planning of a wedding.
§4 Fee/ Remuneration
(a) The fee becomes due upon the client’s placement of the order. Of the total budget, 25 % is payable upon placement of the order, 50 % is payable no later than 30 days before the start of the festivities, and 25% is payable 7 days before the start of the festivities.
(b) All fees charged by Agency Reinweiss Hochzeiten are exclusive of the applicable statutory value-added tax. For invoices issued to customers outside the Federal Republic of Germany, no value-added tax is charged or shown on the invoices.
(c) In the event of a budget adjustment, the agency fee will be adjusted accordingly.
(d) Travel Expenses: There is no charge for travel to the client’s location as part of normal service provision. All other travel, such as trips to inspect locations, overnight accommodations, print approvals, or travel undertaken at the client’s specific request, will be billed to the client separately. Travel expenses will be billed to the client at a rate of €0.40 net plus 19% value-added tax per kilometer traveled. Special trips, such as flights, train rides, ferries, etc., will be billed based on actual costs incurred.
(e) Should fees (such as GEMA) be incurred due to the event, these shall be paid by the client.
(f) The right to compensation shall not lapse even if, due to circumstances beyond the control of the Reinweiss Hochzeiten Agency, the event does not take place on time or does not take place at all. The Reinweiss Hochzeiten Agency recommends taking out wedding insurance.
§5 Award of Contract
(a) Cost Estimate: Before commencing work on planning and organizing a wedding, the agency Reinweiss Hochzeiten must provide the client with a written cost estimate.
(b) Placing an Order: The Client places the order with the Reinweiss Hochzeiten Agency by approving the cost estimate. Approval shall generally be provided in writing. If approval is given verbally, it shall be recorded in the minutes of the meeting.
(c) In the event of a budget adjustment, the Reinweiss Hochzeiten Agency will notify the Client and obtain its approval. Budget adjustments must be made in writing.
§ 6 Term of Contract / Withdrawal / Termination
(a) The contract ends upon the provision of the final service.
(b) The Client shall only be entitled to a right of withdrawal in accordance with the provisions of this Agreement.
(c) The client has the right to terminate the contract no later than six weeks before the start of the celebrations. In this case, the client remains obligated to fulfill any contracts entered into with third parties. The agency REINWEISS Hochzeiten will calculate and invoice compensation for expenses incurred up to that point in the amount of €120.00 net plus 19% value-added tax per hour worked.
(d) The agency REINWEISS Weddings commits to doing everything possible to ensure that the event is carried out on time. Solely in the event of payment default and force majeure, the agency REINWEISS Weddings reserves the right to terminate the contract with immediate effect.
§7 Defects
Defects and complaints must be reported to the Reinweiss Hochzeiten agency immediately upon discovery. In the event of a defect, the Reinweiss Hochzeiten agency reserves the right to remedy the defect.
§ 8 Liability
(a) Reinweiss Hochzeiten’s liability is limited to cases of gross negligence and willful misconduct. Liability is excluded for breaches of duty committed through slight negligence by the agency Reinweiss Hochzeiten, its representatives, and its agents.
(b) The Reinweiss Hochzeiten Agency shall also be liable in accordance with statutory provisions in the event of a culpable breach of a material contractual obligation. In such a case, liability for damages shall be limited to the foreseeable, typically occurring damage.
(c) Liability for culpable injury to life, body and health remains unaffected.
(d) The agency Reinweiss Hochzeiten shall not be liable for disruptions in services related to services that are merely arranged as third-party services. The client must immediately assert any claims against third parties directly with such third parties at the client’s own expense.
(e) If the Reinweiss Hochzeiten Agency has expressed concerns regarding the implementation of a project and the client nevertheless insists on proceeding with it, the Reinweiss Hochzeiten Agency shall not be liable for any damages resulting therefrom.
(f) Claims for damages shall become time-barred in one year. The limitation period shall commence upon the accrual of the respective claim for damages and knowledge thereof, or upon the Client's grossly negligent ignorance thereof.
§9 Data
The agency Reinweiss Hochzeiten will treat as strictly confidential all information and documents that come to its attention in the course of its collaboration with the client and that are not intended for disclosure to third parties.
§ 10 Additional Services
(a) All services that have not been expressly specified in this contract shall be deemed additional services. Such collateral agreements must be agreed separately and in writing.
(b) Additional services include in particular:
1. The creation of further concepts and offers
2. Taking out wedding or event insurance
3. Services provided by third parties that do not have a contractual relationship with the Reinweiss Hochzeiten agency.
§11 Rent
In the event that rental items from the Reinweiss Hochzeiten agency are used in connection with the wedding, these items must be treated with the care expected under the circumstances. Any damage caused by the client or persons under the client’s supervision (e.g., guests) must be fully reimbursed to the Reinweiss Hochzeiten agency.
§ 12 Contract Amendments
Any amendments or additions must be agreed upon or approved by the Reinweiss Hochzeiten Agency. Furthermore, such amendments and additions to this contract must be in writing to be effective.
§13 Prohibition of Assignment
The assignment of rights and obligations under this contract is permitted only with the prior approval of the Reinweiss Hochzeiten Agency. This also includes the legal enforcement of one’s own rights on behalf of another party.
§ 14 Applicable Law
German law applies.
§ 15 Place of Jurisdiction
The place of jurisdiction is designated as the agency Reinweiss Hochzeiten's registered office. The place of jurisdiction is therefore Berlin.
§ 16 Severability Clause
Should one or more provisions of this agreement be or become invalid, the validity of this agreement shall not be affected thereby. The invalid provision shall be replaced as soon as possible by another provision that comes closest to the economic intent of the legally invalid provision.
